1. Terms Applicable to Specific Content and Areas of the Site
Some areas of the Site or Content provided on or through the Site may have additional rules, guidelines, license agreements, service agreements or other terms and conditions that apply to your access or use of that area of the Site or Content (including terms and conditions applicable to a corporation or other organization and its users). If there is a conflict or inconsistency between the Terms of Use and the rules, guidelines, license agreement, service agreement or other terms and conditions for a specific area of the Site or for specific Content, the latter shall have precedence with respect to your access and use of that area of the Site or Content. 3. Use of Materials
You may download, store, display on your computer, view, listen to, play and print Materials that Abukai publishes or broadcasts on the Site or makes available for download through the Site subject to the following: (a) the Materials may be used solely for your personal, informational, noncommercial purposes; (b) the Materials may not be modified or altered in any way; and (c) the Materials may not be redistributed.
You agree not to use the Site or Content provided on or through the Site for any purpose that is unlawful or prohibited by these Terms of Use, or the rules, guidelines or terms of use posted for a specific area of the Site or Content provided on or through the Site.
You may not use the Abukai Site in any manner that could damage, disable, overburden, or impair any Abukai server, or the network(s) connected to any Abukai server, or interfere with any other party’s use and enjoyment of any Abukai Site. You may not attempt to gain unauthorized access to any Abukai Site, other accounts, computer systems or networks connected to any Abukai server, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Abukai Site.
You agree not to use an Abukai Site to:
- publish, upload, post, email, transmit or otherwise make available any Content that (a) you do not have the right to make available (b) is unlawful, harmful, vulgar, obscene, hateful, or racially, ethnically or otherwise objectionable; (c) infringes any Intellectual Property Rights of any party, (d) includes any unsolicited or unauthorized advertising, promotional materials, surveys, junk mail, spamming, chain letters, or any other form of solicitation, commercial or otherwise, or (e) contains a software virus, Trojan horse, worm, time bomb, cancelbot, corrupted file, or any other computer file or software designed to interrupt, destroy, damage or limit the functionality of any computer hardware, software or other property;
- defame, harass, abuse, stalk, threaten or violate the legal rights of others such as rights of privacy and publicity or business integrity; - impersonate any person or entity, including, but not limited to, an Abukai official, Abukai employee, or any other third party, or falsely state or otherwise misrepresent Your affiliation with a person or entity;
- forge email headers or otherwise manipulate identifiers in order to disguise the origin of any user Content transmitted through the Abukai Site; - download any file or User Content posted by another user that you know, or reasonably should know, should not be legally reproduced, displayed, performed and/or distributed in such manner;
- interfere with or disrupt the servers, or networks which support the Abukai Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Abukai Site;
- violate any applicable local, state, national or international law and any regulations;
- harvest, collect, process, or store personal information or data of other users
- share data of racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, genetic data, biometric data, data concerning health or data concerning a natural person’s sex life or sexual orientation (“Special Category Data”) of yourself or any other individual.
4. Use of Community Services
Community Services are provided as a convenience to users and Abukai is not obligated to provide any technical support for, or participate in, Community Services. While Community Services may include information regarding Abukai products and services, including information from Abukai employees, they are not an official customer support channel for Abukai. You may use Community Services subject to the following: (a) Community Services may be used solely for your personal, informational, noncommercial purposes; (b) Content provided on or through Community Services may not be redistributed; and (c) personal data about other users may not be stored or collected except where expressly authorized by Abukai.
5. Reservation of Rights
The Site and Content provided on or through the Site are the intellectual property and copyrighted works of Abukai or a third party provider. All rights, title and interest not expressly granted with respect to the Site and Content provided on or through the Site are reserved. All Content is provided on an "As Is" and "As Available" basis, and Abukai reserves the right to terminate the permissions granted to you in Sections 2, 3 and 4 above and your use of the Content at any time.

6. Your Content
You agree that you will only upload, share, post, publish, transmit, or otherwise make available ("Share") on or through the Site, email, or any other mean of communication, Content that you have the right and authority to Share and for which you have the right and authority to grant to Abukai all of the licenses and rights set forth herein. Your Content may include any article, information, data, code, text, software, documentation, graphic, image, marketing material, video, photograph, message, suggestion, feedback, idea, or posting to any forum, wiki, or blog. By Sharing Content, you grant Abukai a worldwide, perpetual, royalty-free, irrevocable(subject to mandatory data protection requirements), nonexclusive, fully sublicensable license to use, reproduce, modify, adapt, translate, publish, publicly perform, publicly display, broadcast, transmit and distribute the Content for any purpose and in any form, medium, or technology now known or later developed, without restrictions of any kind and without any payment or other consideration of any kind, or permission or notification, to you or any third party. This includes, without limitation, the right to incorporate or implement the Content into any Abukai product or service, and to display, market, sublicense and distribute the Content as incorporated or embedded in any product or service distributed or offered by Abukai without compensation to you. This license includes, without limitation, the irrevocable (subject to mandatory data protection requirements) right to reproduce, prepare derivative works, combine with other works, alter, translate, distribute copies, display, perform, license and provide the Content to third parties; to make, have made, offer to sell, sell, lease, or otherwise distribute any Content or product; and to practice any method, embodying such User Content (including the right to sublicense any of the foregoing).
You warrant that: (a) you have the right and authority to grant this license; (b) Abukai’s exercise of the rights granted pursuant to this license will not infringe or otherwise violate any third party rights; and (c) all so-called moral rights in the Content have been waived to the full extent allowed by law. You agree that you will not Share any Content that: (a) is binary executable code; (b) is false or misleading; (c) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (d) invades another’s privacy or includes another’s confidential, sensitive or personal information; (e) promotes bigotry, racism, hatred or harm against any group or individual; (f) is obscene or not in good taste; (g) violates or infringes or promotes the violation or infringement of another’s rights, including intellectual property rights; (h) you do not have the right and authority to Share and grant the necessary rights and licenses for; (i) violates or promotes the violation of any applicable laws or regulations; (j) contains a solicitation of funds, goods or services, or promotes or advertises goods or services; or (k) contains any viruses, Trojan horses, or other components designed to limit or harm the functionality of a computer. Abukai does not want to receive confidential information from you through or in connection with the Site. Notwithstanding anything that you may note or state in connection with Sharing Content, it shall not be considered confidential information and shall be received and treated by Abukai on a non-confidential and unrestricted basis.
You represent and warrant to Abukai that you have the right, title, and/or authority to grant such license to Abukai. Abukai may elect not to post or publish User Content that You submit. If Abukai elects to post or publish your Content, Abukai may in its sole discretion withdraw the posted or published user Content for any reason and without notice even if Abukai has previously indicated to you that Abukai might or will post the user Content you have submitted. You acknowledge and agree that the relationship between you and Abukai is not a confidential, fiduciary, or other special relationship. Abukai shall have the right, but not the obligation, to use your name, likeness, biography and other information about you that you have provided in connection with any use of the user Content you submit, and Abukai may continue to use this information after any termination of your account or your access to the websites for the purpose of identifying the source of user Content that you previously submitted. Nothing in this Terms of Use shall prohibit or restrict Abukai’s right to create or obtain user Content or submissions similar to or competitive with the user Content that you have submitted.
Herewith, you legally agree and acknowledge that any rights to audit Abukai or any of its affiliate are herewith satisfied through any audits that Abukai may conduct due to the normal nature of Abukai’s business and that Abukai chooses to conduct. You legally agree and acknowledge that you are fully satisfied with Abukai’s choice of any auditors and with delegating any choice of auditor herewith to Abukai if you may have any rights or cause to audit Abukai.
Further you acknowledge that you herewith agree that Abukai, taking into account the nature of the processing, has in place the appropriate technical and organizational measures in place to process such data. You also acknowledge herewith that we have provided sufficient notices to you of potential future processors and that you had sufficient opportunity to object prior to signing this Agreement.
Some parts of the site require that you become a registered user and enter a Service Agreement. Before you can use these parts of the Web site, you have to register with Abukai and provide Abukai with certain information, which may include personally identifiable information, such as your name and your email address (“Personal Data”). By providing Abukai with Personal Data, you expressly agree that Abukai may collect, use, store and otherwise process your Personal Data for the purpose of providing you with access to the Web site and related activities and communications in which you agree to participate. 7. Security, Passwords and Means of Accessing the Site and Content
You agree not to access or use the Site in any manner that could damage, disable, overburden, or impair any Abukai accounts, computer systems or networks. You agree not to attempt to gain unauthorized access to any parts of the Site or any Abukai accounts, computer systems or networks. You agree not to interfere or attempt to interfere with the proper working of the Site or any Abukai accounts, computer systems or networks. You agree not to use any robot, spider, scraper or other automated means to access the Site or any Abukai accounts, computer systems or networks without Abukai’s express written permission. Access to and use of password protected or secure areas of the Site is restricted to authorized users only. You agree not to share your password(s), account information, or access to the Site. You are responsible for maintaining the confidentiality of password(s) and account information, and you are responsible for all activities that occur under your password(s) or account(s) or as a result of your access to the Site. 8. Indemnity
You agree to indemnify and hold harmless Abukai, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, due to or arising out of Content that you Share, your violation of the Terms of Use or any additional rules, guidelines or terms of use posted for a specific area of the Site or Content provided on or through the Site, or your violation or infringement of any third party rights.

Abukai has no obligation to monitor the Site or screen Content that is Shared on or through the Site. However, Abukai reserves the right to review the Site and Content and to monitor all use of and activity on the Site, and to remove or choose not to make available on or through the Site any Content at its sole discretion
10. Termination of Use
Abukai may, in its sole discretion, at any time discontinue providing or limit access to the Site, any areas of the Site or Content provided on or through the Site. You agree that Abukai may, in its sole discretion, at any time, terminate or limit your access to or use of the Site or any Content. Abukai will terminate or limit your access to or use of the Site if, under appropriate circumstances, you are determined to be a repeat infringer of third party copyright rights. You agree that Abukai shall not be liable to you or any third-party for any termination or limitation of your access to or use of the Site or any Content.

ABUKAI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WITH RESPECT TO THE SITE AND ALL CONTENT PROVIDED ON OR THROUGH THE SITE. 17. Export Restrictions/Legal Compliance
